Terms of Use
1. Acceptance
These Terms of Use (“Terms”) govern your access to and use of prdxinfra.com and the client, admin, and owner portals operated by PARADOX INFRASTRUCTURE GROUP (“PRDX Infra,” “we,” “us”) (together, the “Site”). By using the Site you agree to these Terms and to our Privacy Policy. If you use the Site on behalf of an organization, you confirm you are authorized to accept these Terms for it. If you do not agree, do not use the Site.
2. Website vs. services
These Terms cover the Site only. Hosting, disaster recovery, business intelligence, cybersecurity, and other managed services are provided solely under a separate written agreement signed by both parties, such as a master services agreement, statement of work, service level agreement, or Business Associate Agreement (a “Client Agreement”). If these Terms conflict with a Client Agreement, the Client Agreement controls.
3. Informational content
Content on the Site — including service descriptions, performance figures such as uptime and recovery-time targets, and client testimonials — is general information about our offerings and is not an offer, warranty, or guarantee. Specific service levels, remedies, and commitments apply only as written in a signed Client Agreement. Testimonials reflect individual clients’ experiences; your results will depend on your environment.
The risk assessment quiz is a simple self-check provided for general awareness. It is not a security audit, a compliance determination (for example under HIPAA, SOC 2, or PCI DSS), or professional, legal, or regulatory advice.
4. Portal accounts
- Portal access is provided only to authorized clients and personnel. We may grant, limit, suspend, or revoke access at any time, including to protect the security of the Site or our clients.
- You are responsible for keeping your credentials, authenticator apps, and security keys confidential and secure, and for all activity under your account.
- Notify us immediately at cyber@prdxinfra.com if you suspect unauthorized use of your account.
- Sign-in activity is logged and monitored for security purposes, as described in our Privacy Policy.
5. Acceptable use
You agree not to:
- access, or attempt to access, any account, system, or data you are not authorized to use;
- probe, scan, or test the vulnerability of the Site, or bypass any authentication or security measure, except as permitted in Security disclosure below;
- interfere with or disrupt the Site, including through denial-of-service attacks, excessive automated requests, or malicious code;
- scrape, copy, or harvest content or contact information from the Site by automated means;
- use the Site to violate any law or the rights of others, or to send spam or misleading communications; or
- impersonate PRDX Infra, our staff, or any other person.
Unauthorized access to the Site may violate federal law, including the Computer Fraud and Abuse Act (18 U.S.C. § 1030), and Arkansas law, and may be reported to law enforcement.
6. Good-faith security disclosure
If you believe you have found a security vulnerability in the Site, please report it to cyber@prdxinfra.com with enough detail for us to reproduce it, and give us reasonable time to fix it before disclosing it publicly. Do not access, modify, or keep data that does not belong to you, degrade service, or test against our clients’ systems. We will not pursue legal action against researchers who act in good faith and follow these guidelines.
7. Intellectual property
The Site and its content — including text, graphics, logos, the PRDX Infra name and marks, and software — are owned by or licensed to PRDX Infra and are protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Site for its intended business purpose. You may not copy, modify, distribute, or create derivative works from it without our prior written permission.
If you send us feedback or suggestions, we may use them without obligation to you.
8. Third-party links & services
The Site may link to or rely on third-party websites and services. We are not responsible for their content, policies, or practices, and a link does not imply endorsement.
9. Disclaimers
To the fullest extent permitted by law, the Site is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Nothing in this section limits any warranty expressly provided in a Client Agreement.
10. Limitation of liability
To the fullest extent permitted by law, PRDX Infra and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Site, even if advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the Site will not exceed one hundred U.S. dollars (US $100). Liability arising from contracted services is governed exclusively by the applicable Client Agreement. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless PRDX Infra and its owners, employees, and agents from any claims, losses, and expenses, including reasonable attorneys’ fees, arising from your breach of these Terms or your misuse of the Site.
12. Governing law & venue
These Terms are governed by the laws of the State of Arkansas, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Pulaski County, Arkansas, and you consent to their jurisdiction.
13. General
We may update these Terms from time to time by posting a revised version on this page with a new “Last updated” date; continued use of the Site after a change means you accept it. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. These Terms, together with our Privacy Policy and any applicable Client Agreement, are the entire agreement between you and us regarding the Site.
